COMPARATIVE CORPORATE GOVERNANCE 2018/2019

The course aims at introducing the students to the core problems of corporate governance in an international and comparative perspective.

Students are expected to:

a) get acquainted with the main similarities and differences among the corporate governance statutes and soft law of various jurisdictions;

b) develop the knowledge and the skills needed to understand and critically analyze and discuss the key issues in corporate governance.


The first part of the course is designed to describe the concept of corporate governance and its historical evolution around the world, stressing the importance of comparing the main corporate governance systems of the Western legal tradition.

The second part of the course provides an overview on the main traditional corporate governance issues. Various solutions to the conflicts of interest among corporate constituencies provided by the major legal systems of the world will be examined.

The last part of the course is devoted to discuss the latest issues regarding the future of corporate governance in the new digital era.

During the course the students will be encouraged to analyze and actively discuss cases and materials and to work in teams.
